These Affiliate Terms & Conditions (“Affiliate Terms”) govern participation in the Virtual Assists LLC Affiliate Program (the “Program”). By applying to, enrolling in, or participating in the Program, you (“Affiliate”) agree to be bound by these Affiliate Terms, our Terms of Service, Privacy Policy, and any additional policies referenced herein (collectively, the “Agreement”).

If you do not agree, do not participate in the Program.

1. Program Overview

The Virtual Assists Affiliate Program is a referral-based marketing program that allows approved affiliates to earn commissions for referring qualified clients to Virtual Assists LLC (“Virtual Assists,” “we,” “us,” or “our”).

The Program is not an employment relationship, partnership, agency, franchise, joint venture, or investment opportunity.

Affiliate participation is subject to approval at our sole discretion and may be revoked at any time.

2. Independent Contractor Relationship

Affiliates participate as independent contractors.

Nothing in this Agreement creates:

  • An employment relationship

  • An agency relationship

  • A partnership or joint venture

  • Authority to bind Virtual Assists in any way

Affiliates have no authority to:

  • Negotiate pricing

  • Modify services

  • Offer guarantees

  • Enter into contracts

  • Make representations on behalf of Virtual Assists

Affiliates may not present themselves as employees, representatives, agents, or partners of Virtual Assists.

3. Approved Promotional Activities

Affiliates may promote Virtual Assists only using:

  • Approved affiliate links

  • Brand assets provided by Virtual Assists

  • Language consistent with our public website and documentation

All promotional activity must accurately describe Virtual Assists as a managed remote staffing and support service, and not as a freelance marketplace or an employment placement service.

4. Prohibited Conduct

Affiliates may not:

  • Make income, earnings, or “passive income” guarantees

  • Publish screenshots, projections, or representations of commissions or results

  • Represent the Program as an investment opportunity

  • Imply guaranteed, effortless, or risk-free income

  • Offer discounts, rebates, or incentives not explicitly authorized

  • Claim regulatory, legal, or compliance certifications (e.g., HIPAA, SOC 2) unless expressly approved

  • Impersonate Virtual Assists staff or leadership

  • Use paid advertising (including Google, Meta, TikTok, or native ads) without prior written approval

  • Use misleading, deceptive, or high-pressure sales tactics

Any violation may result in immediate termination and forfeiture of unpaid commissions.

5. Commission Structure

Commission percentages, tiers, and eligibility are defined by the Program details in effect at the time of referral and are subject to change.

Commissions are:

  • Performance-based

  • Earned only on qualifying client invoices

  • Payable only while the referred client remains active and in good standing

Commissions are not guaranteed and may be adjusted, delayed, reversed, or withheld in cases of:

  • Client refunds or chargebacks

  • Non-payment by the client

  • Fraud, abuse, or policy violations

  • Program changes or termination

6. Multi-Level Referrals

Where applicable, Affiliates may earn commissions on referrals generated by other affiliates they directly refer.

Affiliates are responsible for ensuring that their referred affiliates comply with all Program terms. Violations by referred affiliates may result in commission forfeiture or termination for the referring Affiliate.

7. Payment & Taxes

Affiliate payouts are subject to:

  • Minimum payout thresholds

  • Payment processing schedules

  • Third-party payment provider terms

  • Currency conversion and transaction fees

Affiliates are solely responsible for:

  • All taxes

  • Reporting income

  • Compliance with local, state, and international tax laws

Virtual Assists does not withhold taxes on behalf of Affiliates.

8. Intellectual Property & Brand Use

Virtual Assists grants Affiliates a limited, revocable, non-exclusive license to use approved branding materials solely for Program participation.

Affiliates may not:

  • Modify branding

  • Register confusingly similar domains or social handles

  • Use Virtual Assists trademarks outside approved contexts

All goodwill generated in connection with the Program belongs exclusively to Virtual Assists.

9. Confidentiality

Affiliates may receive confidential or non-public information. Affiliates agree to:

  • Maintain strict confidentiality

  • Use such information solely for Program participation

  • Not disclose or misuse confidential information

These obligations survive termination.

10. Termination

Virtual Assists may terminate an Affiliate’s participation:

  • At any time

  • With or without cause

  • With immediate effect

Upon termination:

  • All licenses and permissions cease

  • Unpaid commissions may be forfeited in cases of violation

  • Affiliates must immediately stop using all Virtual Assists branding and links

11. Limitation of Liability

To the maximum extent permitted by law, Virtual Assists shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Lost profits or business opportunities

  • Program interruptions or changes

Our total liability shall not exceed the total commissions paid to the Affiliate in the prior twelve (12) months.

12. Indemnification

Affiliates agree to indemnify and hold harmless Virtual Assists from any claims, damages, liabilities, or expenses arising from:

  • Affiliate misconduct

  • Misrepresentations

  • Violation of laws or regulations

  • Breach of this Agreement

13. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the state in which Virtual Assists LLC is registered, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the courts or arbitration forums designated by Virtual Assists.

14. Program Changes

Virtual Assists reserves the right to:

  • Modify commission structures

  • Update Program rules

  • Amend these Affiliate Terms

Continued participation constitutes acceptance of updated terms.

15. No Guarantee of Results

Participation in the Affiliate Program does not guarantee income, commissions, or business success. Results vary based on individual effort, market conditions, and client retention.

16. Entire Agreement

These Affiliate Terms constitute the entire agreement between the parties regarding the Affiliate Program and supersede all prior discussions or representations.
